Terms of Use

1. Acceptance of Terms

By downloading, installing, or using CloseUp! (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and ACQYR HOLDCO INC. ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the App constitutes acceptance of any changes.

2. Description of Service

CloseUp! is a photo memory game that uses your device's photo library to create an interactive guessing game experience. The App:

• Analyzes photos stored on your device using on-device machine learning
• Creates game rounds based on faces, places, dates, and other categories found in your photos
• Tracks gameplay progress including scores, streaks, and achievements
• Offers optional premium features through a paid subscription

3. Eligibility

You must be at least 13 years old to use the App. If you are under 18, you should review these Terms with a parent or guardian. By using the App, you represent that you meet these age requirements.

4. Photo Library Access

The App requires access to your device's photo library to function. By granting this access, you acknowledge that:

• The App will scan and analyze photos stored on your device
• All photo processing occurs entirely on your device
• Your photos are never uploaded, copied, or transmitted to our servers or any third party
• You can revoke photo access at any time through your device settings
• You are responsible for the content in your photo library

5. User Accounts

Creating an account is optional. If you choose to sign in with Apple:

• You are responsible for maintaining the security of your account
• You agree to provide accurate information
• You may request account deletion at any time by contacting us

6. Subscriptions & Payments

6.1 Free Tier

CloseUp! offers a free tier with limited features, including a daily game limit, limited rounds per game, and access to face-based categories only.

6.2 Premium Subscription

Premium features are available through auto-renewable subscriptions at various intervals (e.g. monthly, annual). Current plan options and pricing are displayed in the App before purchase.

6.3 Payment & Renewal

• All payments are processed by Apple through your App Store account
• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your device's Settings > Apple ID > Subscriptions

6.4 Refunds

Refund requests are handled by Apple according to their refund policies. We do not process refunds directly. To request a refund, visit reportaproblem.apple.com.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Reverse engineer, decompile, or disassemble the App
• Attempt to bypass subscription restrictions or security features
• Use automated systems or bots to interact with the App
• Reproduce, distribute, or create derivative works from the App
• Remove or alter any proprietary notices or labels

8. Intellectual Property

The App, including its design, code, features, and content (excluding your personal photos), is owned by ACQYR HOLDCO INC. and protected by intellectual property laws. The CloseUp! name, logo, and branding are our trademarks.

Your photos remain your property at all times. We claim no ownership or rights over your photos or any content in your photo library.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy of face detection, location identification, or date recognition
• Uninterrupted or error-free operation
• Compatibility with all devices or iOS versions

Face recognition and photo categorization are performed by machine learning models and may not always be accurate. Game results are for entertainment purposes only.

10. Limitation of Liability

To the maximum extent permitted by law, ACQYR HOLDCO INC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or personal injury, arising from your use of the App.

Our total liability for any claims arising from the App shall not exceed the amount you paid for the App or subscription in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ACQYR HOLDCO INC. from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the App or violation of these Terms.

12. Termination

We may terminate or suspend your access to the App at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or us.

You may stop using the App at any time by deleting it from your device. Deleting the App will remove all locally stored data.

13. Third-Party Services

The App may contain links to or integrations with third-party services (such as the App Store, analytics providers, and payment processors). We are not responsible for the content, privacy practices, or terms of any third-party services.

14. Apple-Specific Terms

These Terms are between you and ACQYR HOLDCO INC., not Apple. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App, you may notify Apple for a refund of the purchase price (if applicable); Apple has no other warranty obligation.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
